1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at https://www.larnachcapital.com (the "Site"), operated by Larnach Capital LLC ("Larnach Capital," "we," "us," or "our"). By accessing or using the Site, submitting a form, or logging into our investor portal, you agree to be bound by these Terms, our Privacy Policy, and our Disclaimer. If you do not agree, you should not use the Site.

We may update these Terms from time to time. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

2. No Offer or Solicitation

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security. Any such offer or solicitation will be made, if at all, only by means of definitive offering documents (such as a private placement memorandum, subscription agreement, and related exhibits) provided directly to qualified prospective investors with whom Larnach Capital or its principals have a pre-existing substantive relationship, consistent with the requirements of Regulation D, Rule 506(b) under the Securities Act of 1933.

No securities are offered or sold on this Site. Access to information about specific investment opportunities is limited to individuals who have been verified as accredited investors and who have an established relationship with Larnach Capital, in accordance with applicable securities law exemptions.

The information on the Site (including any articles, commentary, market updates, past performance data, or educational content) is provided for general informational purposes only. It does not constitute investment, legal, tax, or financial advice, and should not be relied upon as such. Larnach Capital and its principals are not registered investment advisers, broker-dealers, attorneys, or CPAs, and no advisory or fiduciary relationship is created by your use of the Site.

4. Eligibility and Investor Portal Access

Certain areas of the Site, including our investor portal (accessible via login at https://larnachcapital.fundamentalportal.com/), are restricted to accredited investors and individuals with an established relationship with Larnach Capital. By requesting access or logging in, you represent that:

• You meet the applicable accreditation standards under Regulation D, or are otherwise eligible to receive the information provided;
• Any information you submit for verification purposes (including accreditation documentation) is true, accurate, and complete; and
• You are accessing the portal for your own legitimate investment evaluation purposes, and not on behalf of an unauthorized third party.

Access to the investor portal is provided by a third-party platform provider. Your use of the portal may also be subject to that provider's own terms of use. We reserve the right to deny, suspend, or revoke access to the portal or any restricted content at our discretion.

5. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to any portion of the Site, the investor portal, or any related systems or networks;
• Interfere with or disrupt the operation of the Site or the servers/networks used to make it available;
• Use any automated means (bots, scrapers, crawlers) to access or collect content from the Site without our prior written consent;
• Misrepresent your identity or accreditation status, or submit false information in any form on the Site;
• Use the Site to transmit any harmful code, viruses, or malicious software.

6. Intellectual Property

All content on the Site (including text, graphics, logos, images, the Larnach Capital name and crest, and the underlying design and code) is owned by or licensed to Larnach Capital LLC and is protected by copyright, trademark, and other intellectual property laws. You may view and print content from the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission.

7. Third-Party Links and Services

The Site may contain links to third-party websites or services (including our investor portal provider) that are not owned or controlled by Larnach Capital. We are not responsible for the content, accuracy, or practices of any third-party site or service. Your use of any third-party site or service is at your own risk and subject to that third party's own terms and policies.

8. Text Messaging

By opting in to our text messaging program, you must be at least 18 years of age. If you are under 18, you may not enroll in or use the SMS/text messaging program.

SMS use cases: Larnach Capital LLC sends SMS messages to individuals who have opted in through a widget on our website and who have an existing, substantive relationship with the firm as prospective or current real estate investment partners, consistent with the relationship-based approach described in Section 2 above. Messages may include:

• Promotional/Marketing messages — e.g., invitations to investor webinars, deal-related opportunity updates, and personal outreach from Larnach Capital principals regarding specific investment opportunities
• Transactional/Informational messages — e.g., webinar and event reminders, scheduling confirmations, and one-to-one conversational replies from firm principals responding to your questions or requests

Consent to one message type is not a condition of receiving the other. Message frequency is occasional and tied to specific investment opportunities or scheduled events, not sent on a recurring or high-volume basis.

Opt-out and support: You may opt out of text messages at any time by texting STOP. For help or customer support related to our messaging program, text HELP or reach us through our Contact page; our team will respond to assist you.

Rates and frequency: Message and data rates may apply, and message frequency varies depending on the messages you've opted into.

Carrier disclaimer: Carriers (including AT&T, T-Mobile, Verizon, and other participating wireless carriers) are not liable for delayed or undelivered messages.

No third-party sharing: Your mobile information will not be shared with third parties or affiliates for marketing, lead generation, or third-party analytics purposes.

Your participation in our text messaging program is further governed by the SMS/RCS terms, consent language, and opt-out instructions set forth on our Disclaimer page and in the Text Messaging section of our Privacy Policy.

9. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LARNACH CAPITAL LLC, ITS MEMBERS, OFFICERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR INVESTMENT VALUE, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

Nothing in these Terms limits any liability that cannot be excluded or limited under applicable law, including in connection with fraud or violations of federal or state securities laws.

11. Indemnification

You agree to indemnify, defend, and hold harmless Larnach Capital LLC and its members, officers, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina, and you consent to the personal jurisdiction of such courts.

13. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Larnach Capital LLC regarding use of the Site.
